The Opportunity We are seeking an experienced Vice President, Director, or CFO-level professional to join our client engagement team and lead the execution of sell-side M&A transactions for privately-held businesses. This role serves as the primary driver of transaction execution and the lead day-to-day advisor to clients throughout the transaction process. At Bundy Group, the Principal Manager is the quarterback of the engagement, responsible for maintaining process momentum, coordinating internal and external stakeholders, and delivering thoughtful guidance to clients through complex and meaningful transactions. Principal Managers lead engagements from preparation and client onboarding through closing, including buyer engagement, due diligence coordination, financial analysis, negotiation support, and overall process management. What You’ll Do 1. Deal Leadership & Execution Lead all aspects of transaction execution across multiple concurrent sell-side M&A engagements Serve as the primary client contact and trusted advisor throughout the process Develop and manage detailed transaction timelines to ensure disciplined execution Coordinate internal deal teams to maintain process momentum Oversee preparation of key materials including teasers, CIMs, and financial analyses Lead management presentations, buyer interactions, and overall process flow 2. Buyer Process Management Drive buyer outreach, engagement, and communication strategy Oversee NDA process, buyer tracking, and pipeline management Manage information flow through the data room and diligence process Lead IOI and LOI phases, including structuring feedback and recommendations Coordinate confirmatory diligence through closing 3. Financial & Analytical Oversight Oversee financial modeling, valuation analysis, and working capital considerations Partner with transaction accounting firms on Quality of Earnings processes Evaluate deal structures and provide scenario-based recommendations Ensure analytical work product supports clear and actionable client decisions 4. Client Advisory & Transaction Strategy Provide thoughtful guidance on valuation, structure, timing, and negotiation strategy Prepare clients for key milestones, including management presentations and diligence Manage expectations through clear communication of market feedback and risks Escalate key decisions and collaborate with senior leadership when appropriate Support negotiation of offers and coordination with legal counsel through closing 5. Process Ownership & Accountability Maintain full ownership of deal progression, ensuring nothing falls through the cracks Anticipate risks and proactively solve problems before they impact outcomes Ensure all deliverables meet firm standards for quality, consistency, and professionalism Drive accountability across all parties involved in the transaction

Qualifications & Experience 4 to 6+ years of experience in investment banking, M&A advisory, corporate finance, transaction accounting, or legal advisory Candidates with experience in corporate finance, FP&A, strategic finance, or finance leadership roles involving direct exposure to executive management teams, Boards of Directors, ownership groups, and strategic decision-making environments are encouraged to apply. Strong understanding of process management, financial analysis, and valuation Experience managing multiple workstreams and stakeholders simultaneously while managing to strict timelines Proven ability to operate in a client-facing role Series 79 license required or ability to obtain within 180 days of employment Strong proficiency in Microsoft Office suite, financial modeling, deal cloud, salesforce or equivalent CRM, Pitchbook, and automation tools Bachelor’s degree required, CFA designation or MBA a plus
